These Terms are a legal agreement between you and AMPINITY CAPITAL & ASSETS PRIVATE LIMITED (CIN U70200DL2026PTC464773) (“Ampinity”, “we”, “us”, “our”) regarding https://www.ampinity.in and any content, tools and forms made available through it (the “Services”). They incorporate our Privacy Policy, Cookie Policy and Disclaimer by reference.
1. Acceptance of Terms
By accessing or using the Website, you confirm that you have read, understood and agree to be bound by these Terms and all applicable laws. If you do not agree, do not use the Website. If you use the Website on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Eligibility
The Website is intended for business and professional use. You must be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter into a contract. The Website is operated from India; we make no representation that the content is appropriate or available in other locations, and you are responsible for compliance with local laws.
3. Account Registration & User Responsibilities
Most of the Website is available without an account. Where an account, gated area (such as investor materials) or credential is provided, you agree to:
- provide accurate, current and complete information and keep it updated;
- keep your credentials confidential and not share them;
- be responsible for all activity under your account or access;
- notify us promptly at contact@ampinity.in of any unauthorised use or security breach;
- comply with any additional terms applicable to gated or verified-access areas.
4. Acceptable Use Policy
You agree not to misuse the Website. In particular, you must not:
- break any applicable law, regulation or third-party right;
- access, tamper with, or disrupt the Website, servers or networks, or bypass security or access controls;
- introduce malware, conduct denial-of-service attacks, or attempt to gain unauthorised access;
- scrape, harvest or data-mine at scale, or use bots in a way that burdens the infrastructure, except for documented machine-readable endpoints used within their stated limits;
- reverse-engineer, copy, resell or create derivative works from the Website except as permitted by law;
- impersonate any person or entity, or misrepresent your affiliation;
- upload or transmit unlawful, defamatory, infringing, harmful or misleading content;
- use the Website to send spam or unlawful marketing.
5. Intellectual Property Rights
The Website and its content — including text, graphics, logos, the “Ampinity” name and brand, design, software, and the arrangement of all of it — are owned by or licensed to Ampinity and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your internal, lawful, non-commercial information purposes.
All rights not expressly granted are reserved. You must not remove proprietary notices, and you may not use our trademarks without our prior written permission. Any feedback you provide may be used by us without restriction or obligation to you.
6. User-Generated Content
“User Content” means information you submit through the Website — for example, enquiry messages, partnership/pilot details, job applications, or documents. You retain ownership of your User Content. By submitting it, you grant us a worldwide, royalty-free, non-exclusive licence to use, store, copy and process it as needed to respond to you, provide the Services, and as described in our Privacy Policy.
- You represent that you have the right to submit the User Content and that it is accurate and not unlawful or infringing.
- Do not submit confidential information you do not wish to disclose, or third-party personal data without a lawful basis.
- We may review, refuse, or remove User Content, and may retain records as required by law, but we are under no obligation to monitor it.
7. Payment, Subscriptions & Refunds
Access to the Website is currently free of charge. Ampinity commercial offerings — including our as-a-Service products (for example eBaaS, eTaaS, eCaaS, eLaaS, e3aaS), energy projects, supply and lease arrangements — are provided under separate written agreements that set out pricing, payment, taxes, subscription and refund terms. Those agreements prevail over these Terms for the relevant service.
If we introduce paid features or online payments through the Website in future, the applicable fees, billing cycle, renewal, cancellation and refund terms will be presented at the point of purchase and form part of these Terms. Statutory consumer cancellation/withdrawal and refund rights (where they apply) are unaffected.
8. Privacy & Cookies
Our collection and use of personal data is described in our Privacy Policy, and our use of cookies in our Cookie Policy. By using the Website you acknowledge those policies.
9. Disclaimers
The Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, to the fullest extent permitted by law. If you are a consumer, nothing in these Terms affects statutory rights or implied terms that cannot lawfully be excluded; these warranty exclusions apply only to the extent permitted against consumers under applicable law (including the UK Consumer Rights Act 2015 and EU consumer legislation).
10. Limitation of Liability
To the fullest extent permitted by law, Ampinity, its affiliates, and their respective directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business, arising out of or in connection with your use of (or inability to use) the Website, even if advised of the possibility.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Website is limited to the greater of (a) the amount you paid us, if any, to access the Website in the 12 months before the claim, or (b) INR 5,000 (Indian Rupees five thousand).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — for example, for death or personal injury caused by negligence, fraud, or certain consumer rights. If you are a consumer, the exclusions and the monetary cap above apply only to the extent permitted against consumers under applicable law, and your mandatory statutory rights are unaffected.
11. Indemnification
You agree to indemnify, defend and hold harmless Ampinity and its affiliates and their personnel from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with your misuse of the Website, your User Content, or your breach of these Terms or of any law or third-party right.
12. Termination & Suspension
We may suspend, restrict or terminate your access to the Website (or any part of it) at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law, or to protect the Website, our users or third parties. You may stop using the Website at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification and governing law — will survive.
13. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, strikes, failures of utilities, internet or hosting providers, or governmental action.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to the arbitration agreement below, the courts at New Delhi, India shall have jurisdiction — including supervisory jurisdiction over any arbitration and jurisdiction to grant interim or injunctive relief — and you consent to that jurisdiction and venue.
The parties will first try to resolve any dispute amicably. If unresolved, the dispute shall be finally resolved by binding arbitration seated at New Delhi, India under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, conducted in English. Either party may nonetheless seek urgent interim or injunctive relief, or relief to protect intellectual property, from the courts at New Delhi. Mandatory consumer-protection rights and the right to bring proceedings in your country of residence, where the law provides them, are not affected.
15. Changes to These Terms
We may amend these Terms from time to time. The “effective / last updated” date shows when they last changed. Material changes will be posted here and, where appropriate, accompanied by additional notice. Your continued use of the Website after changes take effect constitutes acceptance. If you do not agree to the changes, stop using the Website.
16. Grievance Redressal & Intermediary Status
We operate the Website as an intermediary under India’s Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We are not the author of User Content and do not endorse it.
If you have a grievance about the Website, these Terms, or any User Content (for example, content you consider unlawful or infringing), contact our Grievance Officer. We aim to acknowledge a complaint within 24 hours and to resolve it within 15 days, or the period required by law.

17. Copyright & Infringement Complaints
If you believe content on the Website infringes your intellectual-property rights, send a written notice to our Grievance Officer (section 16) that includes: identification of the protected work; the location (URL) of the material you object to; your contact details; and a good-faith statement that the use is unauthorised. We will review the notice and, where appropriate, remove or disable access to the material.
18. Miscellaneous
- Entire agreement — these Terms, with the policies they reference, are the entire agreement between you and us regarding the Website.
- Severability — if any provision is held unenforceable, the rest remains in effect.
- No waiver — our failure to enforce a provision is not a waiver of it.
- Assignment — you may not assign these Terms without our consent; we may assign them as part of a reorganisation or sale.
